1. Application and Acceptance of the Terms & Conditions

• You acknowledge that the “Magazine Services” we provide may include- but not limited to- access to our website, social media platforms, digital services, and future subscription or membership products.  
• You agree to be bound by the Terms & Conditions alongside our Privacy Policy and any additional guidelines, terms, procedures or rules that may apply each time you access or use a specific feature of the Magazine Services that are owned or operated by Modern TL;DR or its affiliates.
• You agree to the use of information we obtain about you in connection with your access to and use of the Magazine Services in accordance with our Privacy Policy.
• You acknowledge that the “Content” we provide may include- but not limited to- information, data, text, photographs, videos, audio clips, written posts, articles, comments, software, scripts, graphics and interactive features generated, provided, or otherwise made available through or in connection with the Magazine Services.
• You acknowledge that the Magazine Services and Content are for general information, discussion and entertainment purposes only.

2. User Responsibilities

• You are responsible for providing accurate information when registering, participating, or anything related to your access to and use of the Magazine services.
• You are responsible for acting in accordance to the Community Guidelines  in relation to the Magazine Services, and your access to or use of the Magazine Services and Content (as defined in the “Application and Acceptance of the Terms & Conditions”).
• You are solely responsible for any User Content you provide to us, and it must comply with our Terms & Conditions, Community Guidelines and applicable laws.
• You agree to assume all risks associated with the use of your User Content, including- but not limited to- any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content that makes you or any third party personally identifiable.
• You may not state or imply that your User Content is in any way provided, sponsored or endorsed by Modern TL;DR.

3. Intellectual Property

• Your access and use of the Magazine Services and Content is for personal and noncommercial purposes only.
• You acknowledge that Modern TL;DR owns all rights, title, branding, and interest in and to the copyrights, trademarks, service marks, trade names, patents and all other intellectual and proprietary rights associated with the Magazine Services and Content, if applicable, with respect to User-Generated Content.
• You may not reproduce, redistribute, recirculate, exploit our content or create derivative works or materials using any portion or our Magazine Services and Content, whether for commercial or non-commercial purposes.
• You acknowledge that these Terms & Conditions apply to any future release and update of Magazine Services and Content.

4. User-Generated Content (UGC)

• You grant Modern TL;DR an irrevocable, nonexclusive, royalty-free, and worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use your User Content, and to grant sublicenses of the foregoing, for any lawful purpose.
• You agree to irrevocably waive any claims and assertions of moral rights or attribution with respect to your User Content.
• You acknowledge that Modern TL;DR reserves the right to remove any User-Generated Content that violates our Terms & Conditions without prior notice.

5. Feedback and Suggestions

• You consent to Modern TL;DR having the right to use any feedback, suggestions, and other related information in any manner it deems appropriate.

• You agree that any feedback, suggestions, and other related information provided to Modern TL;DR is considered non-confidential and non-proprietary.
• You agree that you will not submit any information or ideas that you consider to be confidential or proprietary.

6. Release, Indemnity, Disclaimers and Limitation of Liability

• You agree to indemnify and hold Modern TL;DR (and its affiliates and its and their officers, directors, employees, contractors, and agents) harmless, including costs and reasonable attorneys’ fees, from any claim or demand made by any third party due to or arising out of:
  • a.) Your use of the Magazine Services or Content, 
  • b.) Your User Content, 
  • c.) Your violation of the Terms of Use, or 
  • d.) Your violation of applicable laws or regulations.
• You release Modern TL;DR (and its affiliates and its and their officers, directors, employees, contractors and agents) from claims, demands, liabilities, costs, or expenses and damages (actual and consequential of every kind and nature, known and unknown, arising out of or in any way connected with such disputes).
• You grant Modern TL;DR the right to assume the exclusive defense and control of any matter for which you are required to indemnify us.
• You agree to cooperate with our defense of these claims.
• You agree not to settle any matter without our prior written consent.
• You acknowledge that our Magazine Services are “as-is” and “as available”.
• You agree that Modern TL;DR will note be liable for any inaccuracy or defect in any User Content.
• You acknowledge that Modern TL;DR does not guarantee that our Magazine Services:
  • a.) Will meet all users’ personal requirements,
  • b.) Will be available on an uninterrupted, timely, secure, and/or error-free basis,
  • c.) Will be accurate, reliable, complete, legal, safe, or free of viruses or other harmful code.
• You agree that Modern TL;DR (and its affiliates and its and their officers, directors, employees, contractors and agents) are not liable for any loss or damages, data loss, or inability to use the Magazine Services due to bugs, viruses, trojan horses, or the like, even if we have advised the possibility of such damages.

7. Third Parties

• You acknowledge that our Magazine Services might contain links to third-party websites, social media platforms, apps, ads, services, etc., which are not under the control or responsibility of Modern TL;DR.
• You acknowledge that Modern TL;DR, due to the nature of the internet, does not guarantee that all third-party links, ads, and services are thoroughly reviewed, approved, monitories, endorsed, and warranted.
• You agree that Modern TL;DR does not endorse or assume responsibility for third-party content, and your interactions with such content are at your own risk.

8. Amendments to Terms

• You agree that we may amend the Terms & Conditions and post an updated version on the Magazine Services.
• You acknowledge that we may change, modify, edit, suspend, discontinue or otherwise manipulate the Magazine Services, Content or any part, feature or service of the Magazine Services at any time with or without prior notice.
• You consent to receiving notices regarding the updated Terms & Conditions on the Magazine Services.
• Your continued use of the Magazine Services will be considered as irrevocable acceptance of any revisions to the Terms & Conditions.

9. Dispute Resolution

• You agree that any and all claims and disputes between you and Modern TL;DR related in any way to these Terms & Conditions must be resolved through binding negotiation or mediation. 

10. Governing Law

• These Terms and Conditions are governed by the laws of Singapore, without giving effect to any law that would result in the application of the law of another jurisdiction.
